Constitution of the Free Wheeler Intra Club of WBCCI

This constitution was accepted at the annual Free Wheeler meeting in Lansing, Michigan on July 3, 2004.

ARTICLE I

NAME OF ORGANIZATION

Section 1:  This organization, an International Board of Trustees authorized Intra Club of the Wally Byam Caravan Club International, Inc., shall be known as the Free Wheeler Intra Club of Wally Byam Caravan Club International, Inc., and said club will sometimes hereafter be referred to as the Club.

ARTICLE II

OBJECTIVES

Section 1:  The objectives of this non-profit organization shall be to encourage unmarried single WBCCI members to become members;  to participate in rallies and caravans; and to sponsor social activities and events for club members at rallies and caravans.

ARTICLE III

MEMBERSHIP QUALIFICATION

Section 1:   A legally single (unmarried) member of the Wally Byam Caravan Club International, Inc. may upon submission of a completed application and appropriate dues, become a Regular Member of the club.  A married member of the Wally Byam Caravan Club International, Inc. who is a past member of the Free Wheeler Club may upon submission of a completed application and appropriate sues, become an Alumni Member of this club.

Section 2:  The Regular Membership of a member of this club that marries during the Club’s calendar year, July 1 to June 30, will be changed immediately to an Alumni Membership.

Section 3:  Co-owners of an Airstream trailer or motorhome who each pay International dues to the Wally Byam Caravan Club, Inc., shall each be entitled to membership provided they meet all other requirements.

Section 4:  An Alumni Member and their spouse may attend and participate in all rallies and meetings, but may not vote.  An Alumni Member may not hold office.

 ARTICLE IV

OFFICERS AND ELECTIONS

Section1:  The Officers of the Club shall be a President, a 1st Vice President, a 2nd Vice President, a 3rd Vice President, a Corresponding Secretary, a Recording Secretary, and a Treasurer.  The Executive Board shall consist of all the Club Officers plus the Immediate Past President.  A nominee for President shall have been a member of the Club for at least one full year.

Section 2:  The Officers shall be elected at the annual business meeting and shall assume office at the conclusion of the International Rally and each shall serve for a term of one year or until a successor is elected.  No Officer shall be eligible to serve more than two consecutive terms in the same office except the Corresponding Secretary, Recording Secretary, and Treasurer provided each Officer is duly elected for each term of office.

Section 3:  In the event of the death or resignation of the President or Vice President or their inability to fulfill their duties of office, the next ranking Vice President, in the order of first, second, and third shall advance thereto.  All other vacancies of the Executive Board shall be filled by a majority vote of the Executive Board

Section 4:  An Officer who advances to an Office pursuant to the provisions of Section 3 of this Article shall not be deemed to have served a full term of office unless said service is for a period of greater than one-half (1/2) the term.

ARTICLE V

EXECUTIVE BOARD

Section 1:  The Executive Board shall be the administrative body of the Club and shall define the policies of and have full administrative authority in all matters pertaining to the club, and shall exercise general control and supervision of all Officers and Committees.

Section 2:  A quorum of the Executive Board shall consist of a majority of the members.

ARTICLE VI

BUSINESS MEETINGS

Section 1:  The annual business meeting of the Club shall be held during the Wally Byam Caravan Club International Rally each year.  Such a meeting shall be announced by written notice in the club newsletter and delivered to the members not less than 30 (thirty) days prior to the meeting.  The notice shall indicate the date, time, and place of the meeting.  A quorum for conducting business at the annual meeting or at any additional business meeting shall be not less than 10% (ten percent) of Club Members.

Section 2:  The Executive Board, by a majority vote, may call additional business meetings of the members.

Section 3: The President or any 2 (two) members of the Executive Board may call a meeting of the Executive Board at any time deemed necessary.

Section 4:  Co-owners who each pay International dues to WBCCI and are each members of this Club are each entitled to vote as provided for in Article III Section 3.

ARTICLE VII

BYLAWS

Section 1:  Bylaw not inconsistent with this Constitution, or the Constitution, Bylaws, or Policies of the WBCCI, embodying additional provisions for the government of the Club may be adopted by the Executive Board.

ARTICLE VIII

AMENDMENT

Section 1:  Proposed Amendments to this Constitution shall be submitted to the Executive Board in writing.  The Executive Board shall submit all such amendments to the members for their consideration.

Section 2:  Any Article or section of this Constitution may be amended by a two-thirds vote of the members present and voting at a business meeting of the Club or at a special meeting called for that purpose, provided in either case, a notice containing the proposed amendments or amendments has been sent to each member of the Club in the newsletter at least thirty (30) days prior to such a meeting.

Section 3:  All amendments to this Constitution shall become effective upon adoption.

This Constitution was re-adopted by the Free Wheeler Club at the annual business meeting in Escanaba, MI, July 27, 2017.
